Terms of Service

These Terms govern your use of this website and the professional AI and software development services provided by XISTREE SCIENCE AND TECHNOLOGY. Project-specific work is also governed by a written proposal, statement of work or service agreement (“SOW”). If there is a conflict, the signed SOW controls.

1. Services and scope

We provide AI agent development, applied AI research and development, custom software engineering, integration and related technical consulting. Deliverables, milestones, client responsibilities, timeline and acceptance criteria are defined in the SOW before paid work begins.

2. Pricing and payment

Pricing is quoted after scope review and stated in the SOW and invoice. Unless the SOW says otherwise, invoices are due by the date shown. We do not enroll clients in automatic recurring payments without their express written agreement. Taxes, duties and third-party costs are handled as specified in the SOW.

3. Client responsibilities

Clients must provide timely access, accurate requirements, lawful data and feedback needed for delivery. Clients represent that they have the rights and permissions required for any materials, systems or data they provide.

4. Changes and acceptance

Requests outside the agreed scope may require a written change order describing additional price and time. Deliverables are accepted according to the review period and acceptance criteria in the SOW. We will address reproducible defects that cause a deliverable to materially fail those criteria during the agreed warranty period.

5. Intellectual property

Ownership and license rights are defined in the SOW. Unless otherwise agreed, upon full payment the client receives the agreed rights to custom deliverables, while each party retains its pre-existing tools, materials, know-how and intellectual property.

6. Responsible use

Services may not be used to violate law, infringe rights, distribute malware, facilitate fraud, evade safety controls, or make unlawful high-impact decisions. AI output can be incomplete or incorrect and must be reviewed by qualified people where appropriate.

7. Confidentiality and data

Each party will protect confidential information received for a project and use it only to perform or receive the services. Additional security and data-processing terms may be included in the SOW.

8. Warranties and liability

Except for express commitments in an SOW, the website and services are provided as available. To the maximum extent permitted by law, neither party is liable for indirect, special or consequential loss. Any further limitations are set out in the SOW and do not exclude liability that cannot legally be limited.
